1. Agreement to Terms

By accessing or using the CodeAndCount website and services, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access our website or use our services.

3. Project Terms

3.1 Project Proposals

All projects begin with a written proposal or Statement of Work (SOW) outlining scope, timeline, deliverables, and pricing. The proposal becomes binding upon client approval and receipt of the initial payment.

3.2 Payment Terms

• A 50% deposit is required before project commencement
• Remaining balance is due upon project completion, before final delivery
• For larger projects, milestone-based payments may be arranged
• Late payments may incur a 2% monthly interest charge

3.3 Timeline and Delays

Project timelines are estimates and depend on timely client feedback and content delivery. Delays caused by the client may extend the project timeline accordingly.

4. Intellectual Property

4.1 Client Content

You retain ownership of all content, logos, and materials you provide for the project. You grant us a license to use these materials solely for project purposes.

4.2 Work Product

Upon full payment, the custom code and design created specifically for your project transfers to you. However, we retain rights to:

• Third-party libraries, frameworks, and tools used in the project
• Reusable code components and methods developed prior to your project
• Portfolio rights to showcase anonymized or approved samples of the work

5. Warranties and Guarantees

We warrant that our services will be performed in a professional manner. We provide a 30-day bug fix warranty after project launch, covering issues related to code we wrote.

This warranty does not cover:

• Issues caused by client modifications to the code
• Third-party service failures (hosting, APIs, etc.)
• Issues caused by browser updates or third-party plugin conflicts
• Feature requests or changes beyond original scope

6. Limitation of Liability

To the maximum extent permitted by law, CodeAndCount shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Our total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific project in question.

7. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete project requirements
• Provide timely feedback and approvals
• Supply all necessary content, images, and assets
• Ensure you have rights to all content provided
• Make payments according to agreed terms
• Designate a single point of contact for communication

8. Termination and Refunds

Either party may terminate a project with 14 days written notice. In case of termination:

• Client is responsible for payment of all work completed
• Deposits are non-refundable after work has commenced
• We will deliver all completed work product upon final payment
• Any outstanding invoices become immediately due

9. Confidentiality

Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the project. This includes business plans, technical specifications, and unpublished features.

10. Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be subject to the jurisdiction of courts in India.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes indicates acceptance of the modified terms.
